Description Of Service

Nattrly is a companionship platform that connects seniors ("Members") with vetted individuals ("Trusted Companions") for in-person visits and virtual video calls, matched by shared conversation interests. Nattrly facilitates the connection, booking, scheduling, payment, and session management process. Trusted Companions are independent contractors, not employees of Nattrly. Nattrly is not a healthcare provider, medical service, emergency response service, home care agency, or crisis intervention service.

Eligibility

You must be at least 18 years old to use Nattrly. Trusted Companions must be legally authorized to work in the United States and must pass our multi-stage identity and background verification process, which includes identity validation, government-issued ID verification with facial analytics, and comprehensive criminal and public records screening.

Use Of The Website

The content on this website is provided for general information purposes only. We make reasonable efforts to ensure content is accurate but make no warranties regarding completeness or suitability for any purpose. You agree not to use automated tools, bots, scrapers, or similar means to access or interact with the Platform without our express written permission.

Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update it promptly as needed. You agree to notify us immediately if you suspect unauthorized access. Nattrly reserves the right to suspend or terminate accounts that violate these Terms or engage in harmful behavior, at our sole discretion and without prior notice.

Membership Plans Payments

Nattrly is offered as a monthly membership. We currently offer three virtual session plans:

Your membership fee is charged automatically at the start of each billing period through our authorized payment processors, Cardknox and Stripe. Nattrly does not store your credit card numbers; all payment data is handled directly by our payment processors in accordance with PCI-DSS standards. By providing payment information, you authorize recurring charges for your selected plan. Your sessions refresh at the start of each billing period and do not roll over to the next period.

• Companion Connect ($98.99/month) — 2 one-hour sessions, or 1 two-hour session
• Daily Check-In ($128.99/month) — 5 fifteen-minute sessions
• Best of Both ($198.99/month) — 5 fifteen-minute sessions plus 2 one-hour sessions

Cancellation Refund Policy

You may cancel your membership at any time through your account settings or by contacting us. Upon cancellation, your current billing period's session credits remain available through the end of that period. No further charges will be applied after cancellation takes effect.

Refund policy:

Disputed charges should be reported to [email protected] within 30 days of the charge. We will investigate and respond within 10 business days.

• New subscribers may request a full refund within 7 days of their initial subscription if no sessions have been used.
• Session cancellations made more than 24 hours before the scheduled start time restore that session credit for rebooking within the same billing period.
• Session cancellations made less than 24 hours before the scheduled start time forfeit the session credit, except in documented emergencies.
• No partial refunds are issued for unused sessions at the end of a billing period.
• If Nattrly cancels a session due to Trusted Companion unavailability or a platform issue, the session credit is automatically restored.

Member Conduct

All Members agree to:

Violations of these conduct standards may result in warnings, session termination, temporary suspension, permanent account termination, or referral to law enforcement, at Nattrly's sole discretion.

• Treat Trusted Companions and all platform users with respect, dignity, and courtesy
• Provide accurate information in their profiles and account settings
• Not engage in harassment, discrimination, threats, intimidation, or abusive behavior of any kind toward Trusted Companions
• Not make unwanted sexual advances, suggestive comments, or inappropriate requests
• Not use profane, degrading, or offensive language during sessions
• Not request or pressure Trusted Companions to perform services outside the scope of companionship (including medical care, household chores, errands, financial advice, or personal favors)
• Not solicit Trusted Companions for off-platform engagements or attempt to circumvent Nattrly's fees
• Not use the Platform for any unlawful or unauthorized purpose
• Not attempt to obtain personal contact information (phone number, address, social media) of Trusted Companions outside the Platform
• Comply with all session rules, safety protocols, and platform guidelines

Safety Sos Feature

Nattrly provides an SOS safety feature that allows Members to immediately alert their designated emergency contacts via SMS during any active session. By using the Platform, you acknowledge and agree that:

• The SOS feature is an informational notification tool only. It sends SMS alerts to your pre-designated emergency contacts. It does not contact 911, police, fire, ambulance, or any emergency response service.
• In any emergency requiring immediate assistance, you must contact 911 or your local emergency services directly. Nattrly is not a substitute for emergency services.
• Nattrly does not guarantee the delivery, receipt, or timeliness of SOS alerts. SMS delivery depends on carrier networks, device availability, and recipient responsiveness, none of which are within Nattrly's control.
• Nattrly does not guarantee the conduct, behavior, health, or safety of any user, including Trusted Companions. While we conduct thorough background verification, no screening process can guarantee future behavior.
• You are responsible for your own safety and judgment during all interactions, whether virtual or in-person.
• Nattrly shall not be liable for any injury, harm, loss, or damage arising from or related to any session, interaction, or the use or failure of the SOS feature.

Virtual Session Disclaimer

All membership sessions are conducted via virtual video calls through our integrated video platform. By participating in virtual sessions, you acknowledge and agree that:

• Nattrly is not a healthcare provider, caregiver, therapist, counselor, or crisis intervention service
• Virtual sessions are for social companionship and conversation only
• Trusted Companions are not licensed medical, legal, or financial professionals and are prohibited from providing advice in those areas
• You are responsible for your own physical environment and safety during virtual sessions
• Virtual sessions may be monitored by automated content moderation systems for safety and compliance purposes; sessions containing harassment, abuse, or harmful content may be terminated automatically
• Session recordings and transcription data are processed for safety purposes only and handled in accordance with our Privacy Policy

Content Moderation

Nattrly employs automated content moderation during virtual sessions to protect all users. Speech during video calls may be analyzed in real time for harassment, abuse, threats, or other policy violations. If a violation is detected with high confidence, the session may be automatically terminated and the offending account may be suspended pending review. You consent to this monitoring as a condition of using the Platform.

Intellectual Property

All content, design, trademarks, logos, software, and technology on the Platform belong to Nattrly, Inc. or its licensors and are protected by United States and international intellectual property laws. The Nattrly name, logo, slogan ("Companionship Worth Talking About."), and all related marks are trademarks of Nattrly, Inc. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our express written consent.

Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Nattrly, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of profits, data, goodwill, or other intangible losses.
• Our total aggregate liability for any and all claims arising from or related to the Platform shall not exceed the total amount you paid to Nattrly in the twelve (12) months immediately preceding the event giving rise to the claim.
• Nattrly is not liable for any acts, omissions, conduct, or behavior of Trusted Companions or Members, whether during or outside of sessions.
• Nattrly provides the Platform on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless Nattrly, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) any content you submit or transmit through the Platform.

Dispute Resolution Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and Nattrly agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with Nattrly (collectively, "Disputes") shall be resolved through binding individual arbitration, except as set forth below.

Binding Arbitration: If we cannot resolve the Dispute informally, either party may initiate binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will be conducted in the State of Delaware or, at your election, by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND NATTRLY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions: Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access to the Platform.

Payment Processor Disclosure

Nattrly uses third-party payment processors to handle all payment transactions. Our current processors are Cardknox (primary) and Stripe (fallback). By making a payment through the Platform, you agree to the applicable payment processor's terms of service and privacy policy. Nattrly does not store, process, or have access to your full credit card numbers. All payment data is transmitted directly to and handled by our payment processors in PCI-DSS compliant environments. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

Applications Communications

Any applications, communications, or documents you submit through the Platform may be used to process your request. You are responsible for providing accurate information. By creating an account, you consent to receive transactional communications from Nattrly via email and SMS related to your account, bookings, and sessions.

Messaging Terms

By providing your phone number and using our services, you consent to receive SMS text messages from Nattrly, including session reminders, booking confirmations, receipts, safety alerts, and account notifications. Message frequency varies based on your account activity. Message and data rates may apply.

You may opt out of text messages at any time by replying STOP to any message you receive from us. For help, reply HELP or contact us at .[email protected]

No mobile number information will be shared with third parties or affiliates for marketing or promotional purposes. All categories above exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Termination

You may close your account at any time by contacting us at [email protected] or by submitting a data deletion request. Nattrly may terminate or suspend your access at any time, with or without cause, with or without notice, for violation of these Terms, harmful behavior, or any other reason at our sole discretion. Upon termination: (a) your right to use the Platform ceases immediately; (b) any outstanding membership fees for the current billing period are non-refundable; (c) provisions of these Terms that by their nature should survive termination shall survive, including Limitation of Liability, Indemnification, Dispute Resolution, and Intellectual Property.

Modifications To Terms

Nattrly reserves the right to modify these Terms at any time. Material changes will be communicated to registered users by email and/or prominent notice on the Platform at least 14 days before taking effect. Your continued use of the Platform after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Platform and cancel your account.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

Entire Agreement

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
