Introduction

This Trusted Companion Agreement ("Agreement") is a legally binding contract between you ("Trusted Companion," "you," or "your") and Nattrly, Inc. ("Nattrly," "we," "our," or "us"). By completing the Trusted Companion onboarding process and checking the acceptance boxes, you agree to be bound by this Agreement, our Terms & Conditions, and our Privacy Policy. This Agreement governs your participation on the Nattrly platform as a Trusted Companion.

1. Independent Contractor Status

You are an independent contractor, not an employee, partner, or agent of Nattrly. This Agreement does not create an employment, agency, partnership, or joint venture relationship. As an independent contractor:

Nattrly will issue a Form 1099-NEC for annual earnings of $600 or more. You are responsible for providing accurate tax information (W-9) upon request.

■You are solely responsible for your own taxes, including self-employment taxes, income taxes, and any applicable state or local taxes
■You will not receive employee benefits, including health insurance, retirement plans, workers' compensation, or unemployment insurance from Nattrly
■You have the right to accept or decline session requests at your discretion
■You control your own schedule and availability within the Platform's scheduling system
■You may provide services for other platforms or employers, subject to any applicable non-compete provisions

2. Monitoring, Safety Conduct

■You understand that visits, communications, app activity, GPS location, and certain interactions may be monitored, recorded, or reviewed for safety, compliance, and quality assurance purposes.
■You agree to maintain professional conduct at all times and understand that inappropriate behavior, harassment, bullying, intimidation, abuse, or misconduct toward Members, families, or staff is strictly prohibited.
■You agree never to solicit, request, or accept money, gifts, loans, tips beyond company policy, personal favors, or outside compensation from Members or their families.
■You agree not to discuss, advise on, or become involved in Member finances, banking, investments, wills, property, legal matters, medical decisions, or any decision outside the scope of companionship services.
■You agree not to be under the influence of alcohol or controlled substances during any session.

3. Boundaries Confidentiality

■You agree to maintain strict personal and professional boundaries with all Members and family members.
■You agree not to form unauthorized personal business relationships, private employment arrangements, or off-platform service agreements with Members.
■You agree to keep all Member information strictly confidential and comply with all privacy, confidentiality, and data protection policies.
■You agree not to share Member photos, videos, conversations, addresses, medical information, or personal details without explicit company authorization.
■You agree not to contact Members through personal channels or social media outside the Nattrly platform.
■Confidentiality obligations survive termination of this Agreement indefinitely for Member personal information and for 2 years for general business information.

4. Safety Requirements

■You agree to report immediately any emergencies, accidents, injuries, suspicious behavior, abuse concerns, or safety incidents involving Members through the Platform's reporting system or by contacting Nattrly directly.
■You agree to comply with all health and safety protocols, infection control guidelines, and emergency procedures as directed by the company.
■You agree never to administer medication, provide medical advice, perform medical procedures, or act outside the scope of non-medical companionship services.
■You agree to maintain a professional and safe environment during in-person visits.
■You understand that virtual sessions may be monitored by automated content moderation systems and that sessions may be terminated automatically if policy violations are detected.

5. Verification Background Checks

■You agree to undergo and pass Nattrly's multi-stage verification process as a condition of activation, which includes: (a) identity validation; (b) government-issued ID verification with facial analytics; and (c) comprehensive background screening including criminal records (50-state and federal), sex offender registries, social media analysis, facial recognition, and public records searches.
■You authorize Nattrly and its screening partners to obtain consumer reports and investigative consumer reports as described in our Background Check Disclosure.
■You agree to ongoing compliance reviews and re-verification as required by Nattrly.
■You understand that you have rights under the Fair Credit Reporting Act (FCRA), including the right to receive a copy of any report used to make an adverse decision and the right to dispute inaccurate information.
■You agree to notify Nattrly immediately of any arrest, criminal charge, or conviction that occurs after your initial background check.

6. Legal Protection

■You acknowledge that falsification of records, time logs, visit notes, session documentation, or identity information may result in immediate termination, financial liability, and referral to law enforcement.
■You understand that violations of company policy or this Agreement may lead to warnings, temporary suspension, permanent termination, withholding of payments, financial liability, or referral to law enforcement, at Nattrly's sole discretion.
■You agree that Nattrly reserves the right to investigate complaints, monitor compliance, and enforce disciplinary action to protect Members, the Platform, and business integrity.

7. Technology Surveillance

■You consent to the use of scheduling software, GPS verification, digital reporting tools, communication monitoring, and quality review systems as part of Platform operations.
■You understand that all Platform communications, including messages and virtual session activity, may be recorded and retained for safety, quality assurance, and compliance purposes.
■You agree to use only Nattrly-approved technology and communication channels for all Member interactions.

8. Payment Compensation

■You will be compensated for completed sessions at the rates specified in your Trusted Companion dashboard.
■Payment is issued according to the payment schedule communicated in your dashboard.
■You are responsible for providing and maintaining accurate payment information.
■Nattrly may withhold payment for sessions that are disputed, under investigation, or in violation of this Agreement.
■Session cancellations by Members more than 24 hours in advance do not result in compensation. Late cancellations and no-shows by Members are handled according to Nattrly's cancellation policy.

9. Insurance Liability

■You are responsible for maintaining any insurance coverage you deem necessary for your independent contractor activities, including general liability insurance.
■Nattrly maintains platform liability coverage but does not provide insurance coverage for individual Trusted Companions.
■You agree to indemnify and hold harmless Nattrly, its officers, directors, employees, and agents from any claims, damages, or liabilities arising from your acts or omissions during sessions or your violation of this Agreement.

10. Termination

■Either party may terminate this Agreement at any time with written notice.
■Nattrly may terminate your participation immediately and without notice for violations of this Agreement, unsafe conduct, failed re-verification, or any other reason at Nattrly's sole discretion.
■Upon termination: (a) your access to the Platform will be deactivated; (b) you must cease all Member interactions; (c) earned compensation for completed sessions prior to termination will be paid according to the standard payment schedule; (d) all confidentiality obligations survive termination.
■You may not create a new Trusted Companion account after termination without Nattrly's written consent.

11. Dispute Resolution

Any disputes arising from or related to this Agreement shall be resolved through the dispute resolution procedures set forth in Nattrly's Terms & Conditions, including binding individual arbitration and class action waiver.

12. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

13. Modifications

Nattrly may modify this Agreement at any time by posting the updated version on the Platform and notifying active Trusted Companions via email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree to the modifications, you must terminate your participation before the effective date.

14. Entire Agreement

This Agreement, together with the Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and Nattrly regarding your participation as a Trusted Companion and supersedes all prior agreements and understandings.

Acknowledgment

By completing your Trusted Companion onboarding, you acknowledge that you have read, understood, and agree to all terms of this Agreement.
